千百度国际控股有限公司(1028)宣布将于2026年1月15日(星期四)下午三时在中国南京市中山南路1号南京中心62楼召开股东特别大会，主要审议多项普通决议案。
其中包括批准、确认及追认与认购方于2025年10月29日签署的认购协议，涉及向认购方配发及发行合共474,500,000份认股权证，并授权董事按初始行使价每股0.28港元配发相关股份。此外，大会拟审议并通过购股权计划及其后所需配发及发行股份的最高限额。值得注意的是，议案2与议案3互为前提，若其中任何一项未获通过则两者均不生效。
公司提醒符合资格的股东可委任代理人行使投票权，并根据过户安排提前办理股票过户事宜。股东大会地点在黄雨暴或极端天气情况下可能延后，公司将在其网站及联交所网站另行公告。
