康特隆科技有限公司（股票代码：01912）7月10日公告称，公司董事会已委任燃亮资本（亚太）有限公司为独立财务顾问，就Zhuangyan Investment International Limited（要约人）拟向公司提出的要约向独立董事委员会提供意见。
公告显示，燃亮资本（亚太）有限公司是一家获香港《证券及期货条例》认可，可进行第1类（证券交易）及第6类（就机构融资提供意见）受规管活动的持牌法团。其任命已按照香港《公司收购及合并守则》规则2.1获得独立董事委员会批准。
独立财务顾问就要约的意见函件以及独立董事委员会对要约的推荐建议，将载列于稍后根据收购守则向股东寄发的要约文件。
公司提醒，拟进行的认购事项及配售事项须待各自的先决条件达成后方可落实；要约只有在上述事项完成后才能提出，存在最终可能不进行的风险。公司建议股东及潜在投资者在买卖股份时保持审慎，并在有需要时咨询专业顾问。
此前，要约人和公司已于2026年6月8日、6月29日及7月3日联合发布相关公告。
截至本公告日，康特隆董事会成员包括执行董事林强先生、郑宇璧女士，以及独立非执行董事邓昆雷先生、陈国权先生和黎万信先生。
