OCT (Asia) Plans RMB 306.73 Million Disposal of Huizhou Industrial Park Subsidiary, Eyes RMB 138.54 Million Gain

Overseas Chinese Town (Asia) Holdings Limited (OCT (Asia), 03366) has agreed to sell its entire 100 % equity interest in OCT (Huizhou) Industry Management Co., Ltd. through a public tender, naming Victory Giant Technology (Huizhou) Co., Ltd. as the winning bidder.

The transaction, executed via Shenzhen United Property and Equity Exchange, is priced at RMB 306.73 million. OCT (Asia)’s wholly owned subsidiary Hanmax Investment Limited will enter into the sale agreement. All supervisory approvals have been secured; the deal now awaits shareholder approval at an extraordinary general meeting scheduled for 21 August 2026.

OCT (Huizhou) owns and operates the OCT Innovation and Entrepreneurship Industrial Park in Huizhou’s Huiyang District. As of 30 June 2026, the property comprised 77,170.82 sq m of completed factory, dormitory and canteen space plus 160,729 sq m under development, with an appraised value of RMB 280.09 million.

Key financial metrics: • Unaudited net asset value of the target (31 Mar 2026): RMB 150.78 million • Final consideration premium over NAV: RMB 155.95 million • Estimated disposal gain after tax and expenses: RMB 138.54 million • Expected net proceeds: RMB 289.32 million

Use of proceeds: approximately RMB 155 million to repay bank loans and about RMB 118 million to reduce a portion of shareholder loans, lowering annual interest expense by more than RMB 11 million.

Post-transaction, OCT (Asia) will cease to hold any stake in OCT (Huizhou); the subsidiary’s results will no longer be consolidated. Completion is targeted for 3Q 2026, with 95 % of the consideration (net of taxes) to be remitted to the seller within three working days after payment confirmation, and the remaining 5 % by 30 June 2027 at the latest.

The board views the disposal as a move to optimize its asset structure, realise capital for core businesses, and mitigate competitive pressures in the Huizhou industrial property market.
