CHYY Development Group Limited will convene its Annual General Meeting (AGM) on 26 June 2026 at 11:00 a.m. on the 8th floor of Chung Hing Commercial Building, 62-63 Connaught Road Central, Hong Kong.
Key resolutions to be tabled:
1. FY 2025 Financial Statements • Shareholders will consider and, if appropriate, adopt the audited financial statements for the year ended 31 December 2025 together with the reports of the directors and auditors.
2. Board Composition and Remuneration • Re-election of Executive Directors: Mr. Xu Shengheng and Mr. Dai Qi. • Re-election of Non-executive Director: Mr. Liao Yuan. • In each case, the board will be authorised to determine the respective directors’ remuneration.
3. Auditor Re-appointment • The meeting will vote on re-appointing the Company’s auditors and authorising the board to fix their remuneration.
4. Share Capital Authorities • Ordinary Resolution 4A: General and resale mandate to issue shares. • Ordinary Resolution 4B: Mandate to repurchase shares. • Ordinary Resolution 4C: Extension of the general and resale mandate to include repurchased shares.
5. Corporate Identity • Special Resolution 5 proposes changing the Company’s English name to a new designation (full text provided in the formal notice).
Administrative details:
• Shareholders may appoint one or more proxies; if no proxy is named, the Chairman of the meeting will act by default. • Completed proxy forms, together with any accompanying authority, must reach Computershare Hong Kong Investor Services Limited (17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong) no later than 48 hours before the meeting. • Attendance in person will supersede any previously lodged proxy instructions.
The AGM will determine the Company’s governance slate, capital management flexibility and corporate branding ahead of the new financial year.
