罗氏集团今日宣布签署最终并购协议，将全面收购89bio公司。根据并购协议，罗氏将立即启动要约收购，以每股14.50美元现金收购89bio全部流通普通股，同时授予不可交易 contingent value right（CVR）——在达成特定里程碑时最高可额外获得每股6.00美元现金。交易完成时的股权价值约24亿美元，潜在总价值最高可达35亿美元。每股收购价较89bio在2025年9月17日前60日成交量加权平均价溢价约52%。该协议已获双方董事会一致批准。89bio将提交推荐声明，其董事会一致建议股东接受要约收购。完成要约收购后，罗氏将通过第二步合并以相同对价收购剩余股份。
