山东墨龙（00568）拟以设备售后回租融资不超过5,000万元 期限最多36个月

山东墨龙石油机械股份有限公司（00568）10月16日在香港联交所公告称，公司将以自有部分生产设备作为租赁标的物，与上海鼎源融资租赁有限公司开展售后回租融资业务，融资金额不超过人民币5,000万元，租赁期限不超过36个月。相关租赁利率、租金及支付方式等将以最终签署的协议为准。

公告显示，山东墨龙已于2026年10月15日召开第八届董事会第十八次临时会议，并以9票同意、0票反对、0票弃权的表决结果通过了《关于开展融资租赁业务的议案》。该事项处于公司董事会决策权限范围内，无需提交股东大会审议；交易亦不构成关联交易和重大资产重组。

交易对方上海鼎源融资租赁有限公司成立于2018年6月26日，注册资本100100万元，法定代表人为衣同波，由金源华兴融资租赁有限公司100%持股。截至2026年6月30日，上海鼎源资产总额412,280.91万元，负债总额302,882.72万元，净资产109,398.19万元；2026年1—6月实现营业收入14,394.53万元，净利润5,167.20万元。经查询，上海鼎源不属于失信被执行人。

山东墨龙表示，本次融资租赁将有助于盘活存量资产、提高资产使用效率、增强资产流动性并拓宽融资渠道，同时不会影响相关设备的正常生产使用，对公司日常经营不构成重大不利影响。
