Grand Junction Intelligence Co., Limited (Offeror) has completed the purchase of a controlling 75.00 % stake in Superland Group Holdings Limited on 3 August 2026, activating a mandatory unconditional cash offer for the remaining shares.
Transaction highlights • Sellers & buyers: Space Plus Investment Company Limited disposed of 600.00 million shares—440.00 million to the Offeror (55.00 %) and 160.00 million to concert-party STF Ventures Limited (20.00 %). • Consideration: HK$225.00 million in cash, equal to HK$0.375 per share. • Resulting stake: The Offeror and its concert parties now hold 600.00 million shares, or 75.00 % of Superland’s 800.00 million shares outstanding.
Mandatory offer terms • Offer price: HK$0.375 in cash per share, identical to the acquisition price and declared final. • Shares subject to offer: 200.00 million shares (25.00 % of issued capital). • Maximum payout: Up to HK$75.00 million, fully funded by the Offeror’s internal resources; Octal Capital has confirmed sufficiency of funds. • Offer is unconditional and will open upon dispatch of the composite offer document, targeted on or before 25 August 2026.
Pricing context • 79.17 % discount to the HK$1.80 closing price on the last trading day (27 July 2026). • 83.61 % discount to the 30-day average closing price of HK$2.29. • 31.12 % premium to the audited net asset value per share of HK$0.286 as at 31 December 2025.
Governance & advisory • An Independent Board Committee comprising all non-executive and independent non-executive directors—Mr. Louie Dicky, Ms. Ho Nga Ling, Mr. Yip Kit Chau, Mr. Law Hung Wai and Dr. Ho Ka Yan—will advise minority shareholders. • Carlyon Capital Limited has been appointed as Independent Financial Adviser. • Octal Capital and Get Nice Securities are joint offer agents for the Offeror.
Operational intentions The Offeror intends to maintain Superland’s existing fitting-out and maintenance businesses, undertake a post-completion review, and keep the company listed on the Hong Kong Stock Exchange. Any future asset acquisitions or disposals will adhere to Listing Rules.
