Great China Holdings Reshuffles Nomination Committee, Names New Authorised Representative, Faces Gender-Diversity Breach

Great China Holdings (Hong Kong) Limited announced a series of governance changes effective 16 September 2026. Independent non-executive director Cheng Hong Kei has relinquished the role of chairman of the Nomination Committee but will stay on as a committee member. Executive director and board chairman Huang Shih Tsai assumes the position of Nomination Committee chairman, joining Cheng Hong Kei, Leung Kwan Hermann and Kam Eddie Shing Cheuk on the four-member body.

The company also appointed Chan Lok Tung, its company secretary, as the authorised representative under Listing Rule 3.05, filling the vacancy created by the earlier resignation of executive director and chief executive officer Ms Huang.

Following these adjustments, the issuer remains non-compliant with Hong Kong Listing Rule 13.92 and Corporate Governance Code Provision B.3.5, as the board and Nomination Committee are composed solely of male members. Management targets the appointment of at least one qualified female director within three months to restore compliance.

As of the announcement date, the board comprises one executive director (Huang Shih Tsai), one non-executive director (Li Zhizhen) and three independent non-executive directors (Cheng Hong Kei; Leung Kwan, Hermann; and Kam Eddie Shing Cheuk).
