Magnificent Hotel Investments Limited (MHI) and Shun Ho Property Investments Limited (SHP) jointly released a monthly update on 3 August 2026 regarding three concurrent corporate actions: the transfer of SHP shares, an off-market share buy-back proposal and a proposed special cash dividend.

The Executive (Securities and Futures Commission) has approved the extension of the latest despatch date for the shareholder circulars—covering the buy-back mandate and dividend—from 30 June 2026 to 13 August 2026. Both companies are finalising the reports, letters and other information required in their respective circulars.

Management reiterated that: 1. The off-market share buy-back remains subject to the conditions outlined on 10 May 2026. 2. Payment of the proposed special dividend will proceed only if all previously announced conditions are satisfied.

Shareholders and potential investors were reminded to exercise caution in dealing in MHI and SHP securities, as neither the buy-back nor the dividend is guaranteed to occur.

Corporate governance remains unchanged. Each board comprises four Executive Directors (including Chairman William Cheng Kai Man), one Non-executive Director and three Independent Non-executive Directors.

Further announcements on the timing of the circular despatch will be made when appropriate.
