Hong Wei Asia schedules 26 May 2026 AGM; seeks new 20% share issue mandate, 10% buy-back capacity and re-elections of five directors

Hong Wei (Asia) Holdings Company Limited will hold its annual general meeting (AGM) on 26 May 2026 at 10:30 a.m. at 16/F, Tower 5, The Gateway, Harbour City, Kowloon. Shareholders must lodge proxy forms by 10:30 a.m. on 22 May 2026 and transfer documents by 4:30 p.m. on 18 May 2026; the register will be closed from 19 to 26 May 2026 inclusive.

Key resolutions include:

1. General mandates • Issue Mandate – Directors seek authority to allot and deal with up to 20% of the company’s issued share capital, equivalent to a maximum 14.74 million shares based on the 73.72 million shares outstanding as at 28 April 2026. • Repurchase Mandate – Permission to buy back up to 10% of issued shares, or 7.37 million shares, on the Stock Exchange. • Extension Mandate – Number of shares repurchased under the Repurchase Mandate may be added to the Issue Mandate. The board states it has no current plan to issue or repurchase shares under these mandates.

2. Board composition • Five directors—executive director Liu Yan, non-executive director Chen Gang, and independent non-executive directors Cheung Wai Yin Wilson, Guo Ensheng and Zhao Jianhong—will stand for re-election. • Executive director Wong Kin Ching will retire and will not seek re-election due to other business commitments.

3. Auditor • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor and authorisation for the board to fix its remuneration.

If approved, the mandates will remain valid until the earlier of the next AGM, the statutory deadline for holding that AGM, or their revocation by shareholders.

All AGM resolutions will be voted on by poll, with results released in accordance with GEM Listing Rule 17.47(5).
