Jinhui Holdings (137) Announces General Meeting Notice and Proposed Vessel Acquisitions

Jinhui Holdings Company Limited (Stock Code: 137) issued a notice of a general meeting (the “Meeting”) scheduled for Thursday, 27 November 2025, at 9:30 a.m. in Hong Kong. The agenda includes proposals for acquiring three bulk carriers, each with a deadweight of 64,500 metric tonnes, built and sold by Jiangmen Nanyang Ship Engineering Co., Ltd. These acquisitions are to be considered and, if approved, authorize the board of directors to execute related documents.

In preparation for the Meeting, shareholders must lodge transfers with the company’s share registrar, Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, by 4:30 p.m. on Thursday, 20 November 2025. The register of members will be closed from Friday, 21 November 2025 to Thursday, 27 November 2025 (both days inclusive). Shareholders on record as of Thursday, 27 November 2025, will be entitled to attend and vote. Proxies for the Meeting must be submitted to the share registrar by 9:30 a.m. on Tuesday, 25 November 2025.

The notice clarifies voting procedures for joint registered holders and proxy arrangements. It also states that the Executive Directors are Ng Siu Fai, Ng Kam Wah Thomas, Ng Ki Hung Frankie, and Ho Suk Lin, and the Independent Non-executive Directors are Cui Jianhua, Tsui Che Yin Frank, and William Yau.
