中国旺旺控股有限公司（股票代码：00151）刊发公告，拟在2026年8月25日召开的股东周年大会上授予董事回购股份的一般授权。授权规模上限为公司于股东大会当天已发行股份（不包括任何库存股份）总数的10%。截至2026年7月17日，公司已发行股份数量约为117.93亿股（暂未扣除此前回购但尚未注销的214万股），照此测算，此次回购上限约为11.79亿股。
根据公司公告，本次回购所需资金将来自正当合法的内部资源，并将依据开曼群岛及香港上市规则等相关法规进行。董事会表示，回购能提高每股资产净值及每股收益，符合公司及股东的整体最佳利益，具体实施将基于公司资金状况及市场环境，并在必要时采取合理措施进行。
公司将于2026年8月20日至2026年8月25日（含首尾两日）暂停办理股份过户登记，以便确认符合出席股东周年大会并就本次回购相关议案投票的股东资格。公司董事会认为，本次回购授权有助于优化资本结构，并将提交即将召开的股东周年大会审议表决。
