China Innovation Investment Limited (stock code: 1217) has issued an offer document dated 4 November 2025, disclosing a voluntary conditional cash partial offer to acquire up to 180,000,000 shares in Elife Holdings Limited (stock code: 223). Mango Financial Limited is acting on behalf of the offeror to execute the acquisition, with the target being shares not already owned or agreed to be acquired by the offeror and its concert parties.

Under the partial offer, HK$0.056 in cash will be offered for each share formally tendered and ultimately taken up. If total acceptances exceed 180,000,000 shares, scaling down may apply according to the procedures described in the offer document. The number of shares to be taken up from each accepting shareholder will then be adjusted accordingly, rounded to the nearest whole share at the discretion of the offeror.
