承辉国际(1094)拟与新汇元亨成立合营公司进军光伏逆变器业务

承辉国际有限公司（“承辉国际”；股份代号：1094）宣布，其全资附属公司上海承光中采电力发展有限公司（“承光中采”）与上海新汇元亨科技有限公司（“新汇元亨”）订立合营协议，计划在中国上海成立合营公司，注册资本人民币1.2亿元。公告显示，承光中采将出资人民币4,500万元（约4,950万港元），占37.5%股权；新汇元亨将出资其余7,500万元（约8,250万港元），占62.5%股权。

根据公告，合营公司主要从事光伏设备及元器件销售、技术咨询与开发、系统集成等相关业务。双方将于合营公司成立后五年内，并不迟于2030年12月3日完成各自的注资工作。合营公司董事会拥有最终决策权，承光中采可提名总经理，新汇元亨可提名董事，重大事项需全体股东一致同意。

承辉国际管理层指出，此举旨在把握新能源行业的增长机会，依托新汇元亨的技术专长与本土销售网络、结合集团现有的海外管道资源，拓展光伏逆变器业务。公告称，本次投资可望为集团创造协同效应，并可能引入更多相关工程总承包合作机会。

由于有关合营协议的一项或多项适用百分比率高于5%但低于25%，本次订立合营协议及相关交易构成须予披露交易，承辉国际将根据香港联合交易所有限公司证券上市规则第14章的相关规定进行申报与公告。管理层认为，合营协议条款公平合理并符合公司及股东整体利益。
