WeRide Cuts 2.28 Million Class A Shares in April Buy-Back, Outstanding Shares Dip to 949.97 Million

WeRide Inc. (WERIDE-W) filed its Monthly Return for April 2026, detailing a USD 5.67 million share-repurchase programme that reduced the company’s outstanding Class A weighted-voting-right (WVR) ordinary shares by 2.28 million to 949.97 million. The repurchased shares were retained as treasury stock, lifting the treasury balance to 22.54 million shares.

Key share-capital metrics • Authorised capital remained unchanged at 4.50 billion Class A WVR shares and 0.50 billion Class B WVR shares, together representing USD 50,000 of authorised capital at USD 0.00001 par value. • Total issued shares across all classes were stable at 1.03 billion; the decline in Class A outstanding shares was offset by a matching increase in treasury shares, leaving the total issued figure unchanged at 972.51 million for Class A and 54.81 million for Class B. • Public float for Class A shares complied with the 15 per cent minimum requirement under Hong Kong Stock Exchange rules.

April 2026 buy-back activity WeRide executed five on-market repurchases between 7 April and 30 April:

1) 480,000 shares at USD 2.4696 2) 540,000 shares at USD 2.4961 3) 270,000 shares at USD 2.4667 4) 720,000 shares at USD 2.4917 5) 270,000 shares at USD 2.4967

Total: 2.28 million shares for an aggregate consideration of approximately USD 5.67 million, implying a weighted-average cost of USD 2.49 per share.

Equity incentives • 2018 Share Plan: 96,384 options were exercised and 105,126 lapsed, trimming outstanding options to 92.41 million. Remaining shares available for future issuance under this plan total 86.66 million; no further grants will be made following the Hong Kong listing in November 2025. • 2026 Share Plan: authorised on 13 March 2026 with capacity for 95.50 million share options; no grants or exercises occurred in April. • Share awards that may still be issued under the 2018 plan amount to 13.94 million shares, while the 2026 plan had no awards outstanding at month-end.

Treasury-share position Following April’s repurchases, treasury shares increased to 22.54 million, representing 2.32 per cent of total issued Class A shares.

Liquidity outlook No new shares were issued during the month, and the company affirmed that it meets HKEX public-float requirements.
