EuroEyes International Eye Clinic Limited reported that all four ordinary resolutions tabled at its 17 July 2026 extraordinary general meeting (EGM) were approved by substantial margins, clearing the way for a series of strategic transactions.
The Hong Kong branch share registrar, Tricor Investor Services Limited, acted as scrutineer. All directors attended the meeting electronically.
Key resolutions and voting outcomes: • Sale and Purchase Agreement – supported by 189.29 million votes, representing 100.00% of votes cast. • Subscription Agreement – supported by 189.29 million votes, or 100.00% approval. • Grant of Put Option to Manco – backed by 189.26 million votes (99.98%), with 29,921 votes (0.02%) against. • Call Option granted to the Company over Call Option Shares – endorsed by 189.26 million votes (99.98%), with 29,921 votes (0.02%) against.
Share capital and participation: • Issued share capital on the record date: 320.71 million shares. • Total shares eligible to vote: 320.71 million, with no treasury or repurchased shares outstanding. • No shares carried restrictions or abstentions under Hong Kong Listing Rules, and no shareholders had signalled opposition in advance.
All resolutions exceeded the simple-majority threshold and were duly adopted as ordinary resolutions, providing formal approval, confirmation and ratification of the Sale and Purchase Agreement, Subscription Agreement, and the related Put and Call Option arrangements outlined in the company’s circular dated 30 June 2026.
The board comprises four executive directors—Dr. Jørn Slot Jørgensen, Mr. Jannik Jonas Slot Jørgensen, Professor Dan Zoltan Reinstein and Mr. Marcus Huascar Bracklo—and three independent non-executive directors—Mr. Hans Helmuth Hennig, Ms. Katherine Rong Xin and Mr. Philip Duncan Wright.
