China Biotech Services Holdings Ltd. (CH Biotech Ser) has secured a waiver from Hong Kong Exchanges and Clearing Limited under Rule 19.41(a) of the GEM Listing Rules, allowing additional time to despatch the shareholder circular related to its proposed disposal of the entire issued share capital in PHC Medical Diagnostic Centre Ltd. and Premier Medicare Services Ltd.
The waiver follows earlier announcements on 18 May 2026 and 2 June 2026 that outlined the major transaction, as well as subsequent notices on 9 June 2026 and 26 June 2026 that flagged delays in preparing the circular. According to the latest announcement dated 29 June 2026, the circular must now be despatched on or before 10 July 2026.
The company cited the need for more time to finalise information for inclusion in the document as the primary reason for the extension request. The Stock Exchange granted the waiver on the condition that the revised deadline is met.
The board of CH Biotech Ser currently comprises six directors: three executive directors—Chairman Liu Xiaolin, Dr. Huang Song and Dr. Yin Ye—and three independent non-executive directors—Mr. Yan Guoxiang, Dr. Guo Yuantao and Dr. Zhang Xiao.
