Biosysen to Lift Authorised Share Capital to HK$100 Million, Setting Stage for Rights Issue and Convertible Bonds

Biosysen Limited (Stock Code: 01355) has called an Extraordinary General Meeting (EGM) for 25 August 2026 to seek shareholder approval for a substantial increase in its authorised share capital.

Current Capital Structure • Authorised share capital: HK$20.00 million, divided into 2.00 billion ordinary shares at HK$0.01 each. • Issued shares (30 July 2026): 1.19 billion. • Unissued but authorised: 0.81 billion shares.

Proposed Change • Authorised share capital to rise to HK$100.00 million, comprising 10.00 billion shares of HK$0.01 each. • Creation of 8.00 billion additional shares, increasing the pool of unissued shares to 8.81 billion (assuming no change in issued share count before the EGM). • Newly created shares will rank pari passu with existing shares.

Rationale The board cites the need to support future expansion and enhance capital-raising flexibility. The enlarged authorisation will accommodate: 1. A planned non-underwritten rights issue of one rights share for every two existing shares (announced 24 June 2026). 2. Issuance of HK$50.00 million in convertible bonds under a specific mandate (announced 27 May 2026). Management states there is no immediate plan for further equity fundraising but does not rule out future issuances should suitable opportunities arise.

EGM and Key Dates • Meeting: 3:00 p.m. on Tuesday, 25 August 2026 at Room 3008-3009, 30/F, China Resources Building, Wanchai, Hong Kong. • Register closure: 20–25 August 2026 (both days inclusive). Share transfers must be lodged by 4:00 p.m. on 19 August 2026 to qualify for voting. • Voting will be conducted by poll; no shareholders are required to abstain. • Proxy forms must reach Union Registrars Limited at least 48 hours before the meeting.

If approved, the capital expansion will provide Biosysen with a significantly larger reserve of authorised but unissued shares, positioning the company to execute its announced rights issue, convertible bond programme, and potential future financing initiatives.
