Macau Legend Development Limited (01680) Announces EGM for Proposed Domicile Change and Capital Adjustments

Macau Legend Development Limited (01680) has scheduled an Extraordinary General Meeting (EGM) for 2 December 2025 at 11:00 a.m. at Banquet Room 5 of the Convention and Exhibition Center, Macau Fisherman’s Wharf, Avenida da Amizade, Macau. The EGM will consider and vote on several special resolutions related to the proposed re-domiciliation to Bermuda, as well as measures adjusting share premium and share capital.

The first set of resolutions, if approved, would authorize the Company to change its domicile from the Cayman Islands to Bermuda, adopt a new memorandum of continuance and bye-laws under Bermuda law, and fix the maximum number of directors at 20. Shareholders will also vote to authorize any director to undertake necessary procedures to execute this transition.

Another resolution would address the cancellation of the entire amount standing to the credit of the share premium account, transferring this amount to the contributed surplus account within the meaning of the Companies Act 1981 of Bermuda. This transfer aims to streamline the Company’s capital structure subject to EGM approval.

A subsequent resolution, effective 29 December 2025, proposes reducing the Company’s issued share capital from HK$620,118,712 to HK$6,201,187.12, lowering the par value of each issued share from HK$1.00 to HK$0.01. In parallel, authorized but unissued shares would be subdivided accordingly. The resultant credit from the capital reduction is intended for the contributed surplus account, which may be applied towards reducing accumulated losses or otherwise utilized as allowed by Bermuda laws and the Company’s bye-laws.

According to the announcement, the register of members will be closed from 27 November 2025 to 2 December 2025 to determine eligibility to attend and vote at the EGM. All relevant documentation, including proxy forms, must be lodged prior to the specified deadline for those who wish to exercise voting rights via proxy.
