MedSci Sets 30 June 2026 AGM; Nine Resolutions Cover FY2025 Results, Board Changes and 10% Share Buy-back Mandate

MedSci Healthcare Holdings Limited has issued the proxy form for its 2026 annual general meeting, confirming that shareholders will meet at 10:00 a.m. on 30 June 2026 in Shanghai (Room 1004, Guangqi City Office Building, Yishan Road, Xuhui District).

Key resolutions to be tabled:

1. Financial Statements • Receive and adopt the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition • Re-elect Wang Shuai as executive director. • Re-elect Yu Mingyang and Lau Yiu Kwan Stanley as independent non-executive directors. • Authorise the board to determine directors’ remuneration.

3. Auditor • Re-appoint Ernst & Young as external auditor and authorise the board to set its fees.

4. Capital Management Mandates • Authorise the board to repurchase up to 10% of the company’s issued shares (excluding any treasury shares). • Grant a mandate to allot, issue and deal with additional shares up to 20% of the issued share capital (excluding any treasury shares). • Extend the share-issuance mandate by the aggregate number of shares repurchased under the buy-back mandate.

Voting will be conducted by poll. Proxy forms, together with any required authorisations, must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 28 June 2026.
