KB Laminates: Kingboard Investments to Place 155.00 Million Shares at HK$76.00, Parent Stake Dilutes to 61.70%

Hong Kong-listed KB Laminates (formally Kingboard Laminates Holdings Limited) announced a voluntary share-placement agreement on 17 June 2026.

Kingboard Investments, a wholly-owned subsidiary of Kingboard Holdings, has mandated Citigroup Global Markets Limited and Merrill Lynch (Asia Pacific) Limited to place 155.00 million existing KB Laminates shares at HK$76.00 each. The gross consideration totals approximately HK$11.78 billion. Settlement is scheduled for 22 June 2026, subject to the customary conditions in the block trade agreement.

Prior to the transaction, Kingboard Holdings held 2.10 billion KB Laminates shares, representing 66.62 % of the company’s issued share capital. Post-placement, its holding will fall to 1.94 billion shares, equal to 61.70 %. KB Laminates will continue to operate as a non-wholly-owned subsidiary of Kingboard Holdings.

Kingboard Investments has agreed to a 60-day lock-up period following completion, during which it will not dispose of additional KB Laminates shares. Management expects the placement to enlarge the public float, broaden the shareholder base and enhance trading liquidity.
