香港伟业软件股份有限公司（下称“伟业软件”）与桦欣控股有限公司（股票代码：01657，下称“桦欣控股”）联合公告称，双方已完成购股协议，伟业软件据此收购桦欣控股74.91%股权，并将触发强制性现金要约。

公告显示，购股协议的所有先决条件已达成，完成事宜于2026年6月23日落实。根据协议，伟业软件以总代价1.99亿港元收购桦欣控股合共2397万股股份。交易完成前，伟业软件及其一致行动人士（卖方除外）未持有桦欣控股任何股份，而卖方持有上述2397万股销售股份。完成后，伟业软件及一致行动人士合计持有桦欣控股2397万股股份，占公司已发行股份总数的74.91%。

由于持股比例超过75%的强制要约触发线，根据香港《收购守则》规则26.1，伟业软件须就桦欣控股全部已发行股份（伟业软件及一致行动人士已拥有及/或同意收购者除外）提出无条件强制性现金要约。公告指出，载有要约详情、独立董事委员会意见及独立财务顾问意见的综合文件，将不迟于首份联合公告日期（2026年6月4日）起计21日内寄发予独立股东。
