大成国际控股有限公司与天任集团控股有限公司(01429)于2026年3月6日发布联合公告，披露针对天任集团已发行股份之强制性无条件现金要约已于同日16时截止。公告显示，要约人就要约股份共接获六份有效接纳，涉及804,000股，占天任集团已发行股本约0.05%。
紧随要约截止并待过户登记处完成登记后，要约人、邹先生及其一致行动人士合共持有天任集团1,200,804,000股股份，占天任集团已发行股本约75.05%。根据公告，此次要约的总现金代价为76,380港元。
公告同时指出，截至联合公告日期，天任集团公众持股量约24.95%。由于该比例低于上市规则第13.32B(1)条规定的25%，但并未触发上市规则第13.32F条所界定的严重不足情形，公司将向联交所申请暂时豁免严格遵守该规则。
联合公告称，要约人及天任集团将于要约截止后尽快采取适当措施，以恢复符合上市规则规定的最低公众持股量。后续进展将于自公告日起15个营业日内进一步公告。
