China Kingstone Mining (1380) Announces SGM to Approve Multiple Subscription Agreements

China Kingstone Mining Holdings Limited (1380) has issued a notice of its special general meeting (SGM) to be held on 10 November 2025 at 3:00 p.m. in Hong Kong. Shareholders will consider and, if thought fit, approve several ordinary resolutions relating to seven subscription agreements dated 22 August 2025 or 28 August 2025, each subsequently amended on 17 October 2025.

Under these agreements, the company proposes to issue new shares at HK$0.178 per share to different subscribers via specific mandates. The targeted allotments are 28,089,888 new shares to Subscriber I, 33,707,865 to Subscriber II, 11,235,955 to Subscriber III, 5,617,978 to Subscriber IV, 5,617,978 to Subscriber V, 11,235,955 to Subscriber VI, and 11,235,955 to Subscriber VII. Each transaction remains subject to the approval of Hong Kong’s Listing Committee for the listing of, and permission to deal in, the new shares.

The company has reminded all shareholders to complete and return proxy forms at least 48 hours before the designated meeting time. The register of members will be closed from 5 November 2025 to 10 November 2025, during which period share transfers will not be processed. Only shareholders whose names appear on the register by 10 November 2025 will be eligible to vote at the SGM.

According to the notice, if Typhoon Signal No. 8 or above or a black rainstorm warning is in effect after 8:00 a.m. on the meeting day, the SGM will be postponed. The company will announce any revised details as necessary.
