Eagle Nice (International) Holdings Limited announced a proposal to amend its existing memorandum and articles of association to meet new requirements under Hong Kong’s expanded paperless listing framework, facilitate electronic dissemination of corporate communications, and incorporate the latest treasury-shares regime stipulated by the Hong Kong Stock Exchange Listing Rules.
The amendment package—described as “Proposed Amendments”—also includes general housekeeping updates. Subject to shareholder approval by special resolution at the company’s next Annual General Meeting, scheduled for 12 August 2026, the revised provisions will be consolidated into an Amended and Restated Memorandum and Articles of Association (“New Articles of Association”). The changes will take effect immediately upon shareholder approval.
A circular outlining full details of the Proposed Amendments, together with the AGM notice and proxy form, will be distributed to shareholders in due course. The board currently comprises eight executive directors and four independent non-executive directors, with Chairman Chung Yuk Sing signing the announcement on 13 July 2026.
