Universe Printshop Holdings Limited (UNI PRINTSHOP) announced an update on director information under GEM Listing Rules 17.50(2)(l) and 17.50A(2).

\n\nKey disclosure\n• Independent non-executive director (INED) Mr. Lau Jing Yeung William served as an INED of Asia Television Holdings Limited (ATV) from December 2022 to August 2025. • ATV was ordered to be wound up by the High Court of Hong Kong on 22 May 2026, following a debt petition of HK$7.41 million filed by creditor Chen Lili. • Trading in ATV shares has been suspended since 11 August 2025 and remains halted. ATV is incorporated in the Cayman Islands and was engaged in four business lines: (i) fabric processing and trading, (ii) money lending, (iii) securities investment and brokerage, and (iv) media, cultural and entertainment.

\n\nMr. Lau’s position\nMr. Lau confirmed that he: a) has no connection with, or involvement in, the winding-up order or underlying claims; b) possesses no information beyond public disclosures; c) is not a respondent in the proceedings; and d) is unaware of any actual or potential claims against him arising from the liquidation.

\n\nBoard assessment\nThe Board stated that the winding-up order concerns only ATV and does not involve UNI PRINTSHOP or its subsidiaries. Consequently, it sees no impact on the Group’s business, operations, or on Mr. Lau’s suitability to continue serving as: • INED, • Chairman of the audit and risk management committees, and • Member of the remuneration and nomination committees.

\n\nCorporate information\nThe announcement was authorised by Executive Director Mr. Wong Chun Kwok and dated 3 June 2026. As of that date, the Board comprises five executive directors and three independent non-executive directors, including Mr. Lau.
