大同集团有限公司(00544)8月10日公告，已按每股1.00港元完成发行及认购1,000万股新股份，全部条款条件已落实，交易依据一般授权进行。
本次发行前，公司已发行股本为50,615,455股；发行完成后增至60,615,455股。认购股份占发行前已发行股本约19.76%，占扩大后已发行股本约16.50%。
股权结构方面： 1. 发行前，其他股东合计持股44,813,247股，占88.54%；中国农科国际控股有限公司持股5,802,208股，占11.46%。 2. 发行完成后但在可换股债券未转换前，认购人持股1,000万股，占16.50%；中国农科国际控股有限公司持股5,802,208股，占9.57%；其他股东合计持股50,615,455股，占83.50%。 3. 若可换股债券悉数转换，公司总股本将扩张至154,345,928股，其中可换股债券持有人合计持股93,730,473股，占60.73%；认购人维持持股1,000万股，占6.48%；其他股东合计持股50,615,455股，占32.79%。
公告指出，认购股份的发行不会触发可换股债券条款下的换股价调整。
