Goodbaby International Shareholders Endorse All AGM Proposals; HK$0.05 Final Dividend Approved

Goodbaby International Holdings Limited reported that all eight ordinary resolutions tabled at the 29 May 2026 Annual General Meeting (AGM) were passed by poll, clearing the way for a HK$0.05 per-share final dividend and the renewal of key board and capital mandates.

The poll attracted 1.02 billion voting shares, equivalent to approximately 60.90% of the company’s 1.67 billion outstanding shares. Every resolution received at least 94.52% support.

Key approvals:

1. Financial statements: Shareholders unanimously (100.00% of votes cast) adopted the audited consolidated accounts and the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board composition: • Re-election of executive directors Mr Song Zhenghuan, Mr Martin Pos and Mr Xia Xinyue gained 99.25%–99.29% support. • Independent non-executive director Mr Jin Peng was re-elected with 99.96% approval. • The Board was authorised to set directors’ remuneration with full support (100.00%).

3. Dividend: A final dividend of HK$0.05 per share for FY 2025 was approved with unanimous consent.

4. Auditor: Ernst & Young was re-appointed as external auditor, endorsed by 99.34% of votes.

5. Capital mandates: • Share buy-back mandate of up to 10% of issued share capital passed with 99.97% support. • General mandate to issue up to 20% new shares and an extension of this mandate by the amount of shares repurchased each secured 94.52% approval.

Procedural notes:

• No shareholders were required to abstain, and no counter-votes or abstention intentions were declared in advance. • Computershare Hong Kong Investor Services Limited acted as independent scrutineer. • All directors, except four who had prior business commitments, participated in person or electronically.

The approvals provide the Board with continued flexibility over capital management while confirming shareholder backing for the company’s leadership and FY 2025 financial results.
