MODERNHEALTHTEC Moves to Adopt Second Amended Articles, Targeting Electronic Governance and Uncertificated Shares

Modern Healthcare Technology Holdings Limited (MODERNHEALTHTEC) has released a proposal to replace its current amended and restated Articles of Association with a Second Amended and Restated version designed to modernise corporate governance and align with the latest Hong Kong Stock Exchange (HKEX) and Cayman Islands requirements.

The planned amendments focus on four core areas:

1. Regulatory Alignment: Incorporates the most recent Listing Rules covering electronic or hybrid shareholder meetings, electronic voting, treasury shares, and digital dissemination of corporate communications.

2. Digital Transactions: Enables shareholders to submit instructions, receive corporate action proceeds, and pay subscription monies for new securities through electronic channels.

3. Uncertificated Securities Readiness: Introduces provisions allowing shares to be held and transferred in uncertificated (paperless) form, in anticipation of the forthcoming market regime.

4. Housekeeping Updates: Implements miscellaneous and administrative changes to ensure consistency with up-to-date Cayman Islands law and HKEX regulations.

The Second Amended and Restated Articles will replace the existing articles in full, contingent upon shareholder approval via special resolution at the forthcoming annual general meeting (AGM). If approved, the new articles will take effect immediately after the AGM closes.

A circular detailing the proposed changes, together with the AGM notice and proxy form, is scheduled for publication on 27 July 2026.

The announcement, dated 24 July 2026, lists Board composition as three executive directors—Dr. Tsang Yue, Joyce; Mr. Yip Kai Wing; and Ms. Yeung See Man—and four independent non-executive directors—Ms. Liu Mei Ling, Rhoda; Dr. Wong Man Hin, Raymond; Mr. Hong Po Kui, Martin; and Mr. Lam Tak Leung, MH, JP.
