Envision Greenwise (1783) Announces HK$155 Million Share Subscription Under General Mandate

On 17 October 2025, Envision Greenwise Holdings Limited (Stock Code: 1783) disclosed plans to issue 50,000,000 new shares under its general mandate at HK$3.10 per share. The new shares account for approximately 1.78% of the company’s existing issued share capital and about 1.75% of the enlarged share capital upon completion.

According to the information provided, the total gross proceeds are expected to reach HK$155 million, while net proceeds are estimated at approximately HK$154.9 million after related expenses. The funds are earmarked for a processing plant project in EcoPark, Tuen Mun, and for enhancing a global sales cooperation initiative related to recyclable materials.

The subscription price of HK$3.10 per share represents a 1.31% premium to the HK$3.06 closing price on 17 October 2025 and a 3.19% discount to the five-day average closing price of HK$3.20. Vintage Antique Limited and Victoria Sight Capital Limited are the subscribers, reportedly independent third parties, subscribing for 30,000,000 and 20,000,000 shares respectively.

Listing approval from the Stock Exchange is required for the newly issued shares. As the issuance falls under the company’s general mandate, additional shareholder approval is not needed. The company cautions that completion is subject to certain conditions and may or may not proceed as planned.
