InnoScience (Suzhou) Technology Holding Co., Ltd. has convened an extraordinary general meeting (EGM) for 23 September 2026 to seek shareholder approval on three key matters: a full board re-election, amendments to the Articles of Association and a material increase in guarantees for subsidiaries.
Board re-election • The first three-year board term has ended. Shareholders will vote, via cumulative voting, on nine director positions—three executive, two non-executive, three independent non-executive and one employee representative (already elected internally). • Executive director nominees: Dr Weiwei Luo (current Chairperson), Mr Jay Hyung Son and Dr Wu Jingang (current CEO). Indicative 2026 remuneration: RMB 4.61 million, RMB 2.00 million and RMB 7.00 million respectively. • Non-executive director nominees: Dr Wang Can and Ms Zhang Yanhong; no remuneration proposed. • Independent non-executive director (INED) nominees: Mr Wong Hin Wing, Dr Yi Jiming and Dr Yang Simon Shi-Ning. INED allowances are set at RMB 40,000 per month (pre-tax). • Current directors Mr Zhong Shan, Ms Cui Mizi and Dr Philip Chan will retire at the EGM, having confirmed no disagreements with the board.
Articles of Association – key changes • Reflect conversion of 373.84 million Domestic Unlisted Shares into H Shares, revising the share capital split to 15.72 million Domestic Unlisted Shares (1.72%) and 899.38 million H Shares (98.28%). • Reduce board size from 11 to 9 directors; independent directors from four to three; formalise inclusion of one employee representative director. • Add shareholder approval for equity incentive schemes and employee stock-ownership plans to AGM authority.
Expanded guarantee limit for subsidiaries • The May 2026 AGM approved up to RMB 1.01 billion in guarantees for 2026. Management now seeks an additional RMB 1.90 billion, lifting the 2026 ceiling to RMB 2.91 billion. • Guarantees cover new facilities and renewals, with validity through the 2026 AGM; longer individual guarantees will run until expiry.
Meeting logistics • The EGM will be held at 2:00 p.m. (Hong Kong time) on 23 September 2026 in Suzhou. Shareholders must register by 4:30 p.m. on 17 September 2026; the H-share register closes 18–23 September. • All resolutions will be decided by poll.
