RONGTA TECH (09881) Plans to Acquire Shenzhen Yanke Digital for Up to RMB65 Million

RONGTA TECH (09881) announced on December 19, 2025, that the company, the sellers (Mr. Li Yan, Mr. Cui Changsheng, Ms. Cui Hongwei, and Mr. Zhao Zilong), the target company Shenzhen Yanke Digital, and Shenzhen Jinruisheng have entered into a letter of intent. According to the letter, RONGTA TECH intends to acquire all issued shares of the target company for no more than RMB65 million (subject to adjustments in the formal sale and purchase agreement).

Shenzhen Yanke Digital is a limited liability company registered in China and holds full ownership of Guangdong Yanke. Both the target company and Guangdong Yanke primarily engage in the R&D and production of printing equipment. As of the announcement date, Shenzhen Jinruisheng is wholly owned by Mr. Li Yan. Upon completion of the transfer, the target company will fully own Shenzhen Jinruisheng, a company mainly focused on printing equipment sales.

Post-acquisition, RONGTA TECH will effectively integrate the target company's resources in embedded systems and modules. Shenzhen Yanke Digital has long maintained a leading position in the Chinese market, boasting a significant market share and strong brand reputation. Currently, RONGTA TECH has not yet developed large-scale operations in this product line. The acquisition will enable the company to swiftly enhance its embedded and module product offerings, improving overall product portfolio completeness and market competitiveness.

The potential acquisition (if finalized) will not be funded through proceeds from an initial public offering.
