Key responsibilities of the Nomination Committee include periodically reviewing the Board’s structure, size, and diversity, developing and implementing the nomination policy, identifying qualified candidates for directorships, and assessing the independence of Independent Non-executive Directors. The Committee is also to review and assess diversity policies for both the Board and the workforce, guiding gender diversity objectives and succession planning for senior leadership roles.
The Nomination Committee has authority to access necessary resources, including independent professional advice, and must keep full meeting minutes for reporting to the Board. Any amendments to these terms require Board approval.
