ZG Group Plans 13th Amendment to Constitutional Documents to Facilitate Hybrid AGMs and E-Voting

ZG Group announced a proposal to replace its existing memorandum and articles of association with a thirteenth amended and restated version.

The Board stated that the planned revision aims to: 1. Align the company’s constitutional documents with recent Hong Kong Listing Rules updates covering hybrid general meetings, electronic voting, and related governance changes. 2. Implement consequential and housekeeping amendments.

The new memorandum and articles will be submitted for shareholder approval by special resolution at the forthcoming annual general meeting. A circular detailing the amendments and the AGM notice will be dispatched in due course.

If approved, the updated documents will supersede the current version in its entirety.

As of 12 May 2026, the Board comprises four executive directors—Wang Dong (Chairman), Wang Changhui, Gong Yingxin, and Zhou Min; two non-executive directors—Ye Qian and Sun Qingdong; and three independent non-executive directors—Wang Xiang, Chen Yin, and Wang Weisong.
