李宁（02331）上调限制性购股期年度上限至5亿港元

2026年9月17日，李宁（02331）发布公告称，经董事会审议，公司决定上调限制性购股年期（2026年1月1日至2026年12月31日）的年度上限。

修订后，数目年度上限增至40,000,000股股份，相关款项年度上限增至500,000,000港元。

公司表示，原设年度上限旨在覆盖2016年计划未归属部分及2026年计划预计于2026年授出股份的约三分之一，但该额度限制了公司在后续年度向2026年受托人付款购股以满足归属的灵活性。

公告披露，董事会在作出此次调整时综合考虑：（i）2016年计划及2026年计划已授出且尚未归属的限制性股份总数；（ii）预计2026年计划可能授出的限制性股份数量；（iii）近期股价表现；（iv）限制性购股年期内预期购股数量及价值；（v）此前公告的年度上限与受托人近期购股数量及价格等因素。董事（包括独立非执行董事）认为，修订后的年度上限公平合理，符合公司及股东整体利益。

根据公告，截至公告日期，公司关联人士在2016年计划及2026年计划中的权益总额分别约占58.38%及96.53%。依据香港联交所上市规则第14A.12(1)(b)条，上述计划的受托人均为公司关联人士之联系人士，因此相关交易构成持续关连交易。由于所有适用百分比率均低于5%，该交易仅需遵守申报、公告及年度审阅规定，获豁免独立股东批准。
