南旋控股有限公司（01982）8月19日公告称，公司已与一家银行签订融资函件，取得最高2.63亿元的三年期贷款融资，南旋控股作为借款人，银行为贷款人。贷款起始日期为2026年8月19日。

根据融资条款，控股股东王庭聪先生及其家族成员需持续持有公司不少于50%的股权，并维持对公司过半数的管理控制权。若上述约定被违反，将构成违约事件，届时公司在融资函件项下的所有应付金额（包括本金及利息）将即时到期并需偿付。

公告显示，截至2026年8月19日： 1. 王庭聪先生直接持有公司2.00亿股股份。 2. 作为庭槐信托的受益人，王庭聪先生、王庭真先生及王庭交先生被视为对南旋投资有限公司持有的15.00亿股公司股份拥有权益。 3. 上述三人合计直接或间接持有公司已发行股本约74.6%。

南旋控股表示，只要以上需披露事项持续存在，公司将依照香港联合交易所有限公司《证券上市规则》第13.21条的规定，在其中期报告及年报中进行相应披露。

董事会名单显示，公司执行董事包括主席王槐裕先生MH、行政总裁文宇轩先生、王庭真先生及郭芬芬女士；独立非执行董事为范椒芬女士GBM、GBS、JP，孙宝源先生JP及叶澍堃先生GBS、JP。
