Truly International executes further HK$0.90 on-market buyback; 26.50 million shares repurchased under 2026 mandate

Truly International Holdings Limited (Truly International) disclosed on 17 July 2026 that it repurchased 1.00 million ordinary shares on the Hong Kong Stock Exchange at HK$0.90 each, for a total consideration of HK$0.90 million. The shares are marked for cancellation, but cancellation had not yet been completed as at the reporting date.

Including this latest transaction, the company has bought back 5.64 million shares between 2 July and 17 July 2026 at prices ranging from HK$0.88 to HK$0.91. The aggregate volume corresponds to approximately 0.19 % of the 2,934.17 million issued shares outstanding before the series of repurchases. The issued share capital therefore remains at 2,934.17 million shares until cancellation is processed.

Since receiving shareholder authorisation on 12 May 2026, Truly International has repurchased 26.50 million shares on the Exchange, equating to 0.89 % of the company’s share base on the mandate date. With a maximum authority to repurchase 297.13 million shares, the company still has capacity to buy back up to 270.63 million shares under the current mandate.

In accordance with Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or transferring any treasury shares until 16 August 2026. The board confirms that all repurchase activities complied with relevant regulations, and that no other changes have occurred in the company’s issued share capital beyond the shares awaiting cancellation.
