Guangshen Railway (00525) Announces EGM on Continuing Connected Transactions and Proposed Amendments

Guangshen Railway Company Limited (00525) issued documents dated 17 November 2025 regarding its upcoming extraordinary general meeting (EGM). According to the announcement, shareholders are invited to attend the EGM scheduled for 4 December 2025 at 9:30 a.m., set to take place at the Company’s premises in Shenzhen, Guangdong.

The proposals submitted for approval include a continuing connected transaction framework agreement with China State Railway Group Co., Ltd., under which an updated set of transactions and proposed annual caps are introduced through 31 December 2028. Also on the agenda is a plan to amend the Company’s Articles of Association and abolish its supervisory committee, accompanied by proposed revisions to rules of procedure for shareholders’ meetings and board meetings.

The meeting will further consider appointing two nominated non-executive directors. Resolutions regarding each proposal will be put before shareholders for a vote, and the Company will provide materials outlining the details of the transactions, amendments, and director appointments for review ahead of the EGM. Shareholders of record as of 2 December 2025 are entitled to attend in person or by proxy. Any approved items will be implemented following the EGM, and relevant information on resolutions passed will be announced in accordance with regulatory requirements.
