Hop Fung Group to Hold 8 June 2026 AGM; Board Seeks 10% Share Buyback and 20% Issuance Mandates

Hop Fung Group Holdings Limited has issued a notice convening its Annual General Meeting (AGM) for 10:30 a.m. on Monday, 8 June 2026, at the Sheraton Hong Kong Hotel & Towers, Kowloon.

The AGM agenda includes: 1. Review of the audited consolidated financial statements, Directors’ Report and Independent Auditor’s Report for the year ended 31 December 2025. 2. Re-election of Executive Director Mr. Hui Sum Tai and Independent Non-Executive Director Mr. Tso Sze Wai, along with authorization for the board to determine directors’ remuneration. 3. Re-appointment of the existing auditor with board-approved remuneration.

Capital management proposals: • Share buyback mandate: Directors seek authority to repurchase up to 10% of the company’s issued shares (excluding any treasury shares) during the mandate period, in line with Hong Kong Listing Rules. • Issuance mandate: The board also requests approval to allot and issue new shares—excluding rights issues, share option exercises and scrip dividends—up to 20% of the company’s issued share capital. • Extension mandate: Subject to the above approvals, the issuance limit may be increased by the number of shares actually bought back, capped at an additional 10% of issued shares.

Key shareholder logistics: • Shareholders recorded on Monday, 8 June 2026 are entitled to attend and vote. • The register of members will be closed from Wednesday, 3 June to Monday, 8 June 2026 (both days inclusive); transfers must be lodged by 4:30 p.m. on Tuesday, 2 June 2026. • Proxy forms must reach Tricor Investor Services Limited by 10:30 a.m. on Saturday, 6 June 2026. • Contingency arrangements apply if severe weather signals are in force on the meeting date.

As at 30 April 2026, the board comprises Executive Directors Mr. Hui Sum Ping (Chairman), Mr. Hui Sum Tai and Ms. Hui Yuk Ling, and Independent Non-Executive Directors Messrs. Tso Sze Wai, Wong Chu Leung and Chau Suk Ming.
