瑛泰医疗（上海瑛泰医疗器械股份有限公司）与堃博医疗控股有限公司于2026年5月26日（交易时段后）签署终止协议，双方一致解除2025年10月10日订立的认购协议，并取消原计划进行的全部交易安排。
根据2025年认购协议，瑛泰医疗曾计划以每股3.11港元认购堃博医疗91,093,613股新股份，总对价约2.83亿港元。公告指出，截至终止协议签署日期，瑛泰医疗尚未就该认购向堃博医疗支付任何款项。
终止协议生效后，认购协议项下的全部义务与责任（保密条款除外）均告解除，双方亦不再就相关事项提出任何申索。
瑛泰医疗董事会表示，终止该认购不会对集团的财务状况及营运构成重大不利影响，且符合公司及股东整体利益。
瑛泰医疗现任董事会由执行董事梁栋科博士、林森先生；非执行董事宋媛博士、王瑞琴先生、陈红琴女士及张泓先生；以及独立非执行董事蹇锡高先生、许鸿群先生、徐从礼先生组成。
