GUOQUAN Appoints Non-Employee Directors for Its Second-Term Board

GUOQUAN (02517) has announced the nomination of candidates for its second-term board of directors. Following a recommendation from the board's nomination committee, the company has nominated Mr. Yang Mingchao, Mr. Meng Xianjin, Mr. An Haolei, Ms. Luo Na, and Ms. Yang Tongyu as executive directors. Mr. Liu Zhengzheng has been nominated as a non-executive director, while Mr. Zeng Xiaosong, Ms. Yu Fangjin, Mr. Li Jianfeng, and Mr. Shi Kangping have been nominated as independent non-executive directors.

According to the company's articles of association, the appointments of these director candidates are subject to approval by shareholders at the 2025 annual general meeting. If elected, their terms will commence from the date of the shareholders' meeting and will last for three years, with eligibility for re-election upon expiration. The company will enter into service contracts with each director upon their formal election.

In a separate procedure, the company held an employee representative meeting on February 12, 2026, in accordance with relevant regulations, and elected Ms. Zheng Min as an employee director. She will serve alongside the directors elected by shareholders to form the second-term board. Ms. Zheng's term will also be three years, starting from the date of shareholder approval, and she will be eligible for re-election. A service contract will be executed upon her formal appointment.
