AP Rentals Holdings Limited has issued a notice for its Annual General Meeting (AGM) to be held on 26 August 2026 at 2:15 p.m. at REF Financial Press Limited, The Center, Central, Hong Kong.

Key resolutions to be put to shareholders include:

• Financial statements and dividend Shareholders will vote on adopting the audited consolidated financial statements for the year ended 31 March 2026 and on a proposed final dividend of HK 0.62 cent per share.

• Board composition Re-election of Executive Directors Mr Lau Pong Sing and Mr Lau Tsz Fung, and Independent Non-executive Director Ms Lam Sau Fung. The Board will also seek authority to fix directors’ remuneration.

• Auditor Deloitte Touche Tohmatsu is nominated for re-appointment, with the Board authorised to determine its fee.

• General mandates 1) Share issue mandate: authority to allot, issue or deal with shares or convertible securities up to 20 % of the company’s issued share capital (excluding treasury shares). 2) Share repurchase mandate: authority to repurchase shares on the Stock Exchange up to 10 % of issued share capital (excluding treasury shares). 3) Extension mandate: the share issue limit may be increased by the number of shares repurchased under the above mandate, capped at an additional 10 %.

Key administrative details:

• Share register closure: 21 August 2026–26 August 2026 (both dates inclusive). Transfers must be lodged by 4:30 p.m. on 20 August 2026 to qualify for AGM attendance and voting. • Proxy deadline: forms of proxy must reach Computershare Hong Kong Investor Services Limited not less than 48 hours before the meeting.

As at the date of the notice, the Board comprises three Executive Directors, one Non-executive Director and three Independent Non-executive Directors.
