Wuxi Lead Launches HK$200-400 Million H-Share Buyback, Capping at 10% of Free-Float

Wuxi Lead Intelligent Equipment Co., Ltd. (Wuxi Lead) has approved an H-share repurchase programme at the 22nd meeting of its fifth-session board held on 20 July 2026.

Key terms of the mandate are as follows:

• Size and funding: The company will deploy no less than HK$200 million and up to HK$400 million of internal or self-raised funds to repurchase shares.

• Price cap: Any daily repurchase price must not exceed the average closing price of Wuxi Lead’s H shares over the five preceding trading days by more than 5 per cent, in line with Hong Kong Listing Rules.

• Quantity limit: The total number of H shares bought back will not exceed 10 per cent of the company’s issued H-share capital (excluding treasury shares) on the date the 2025 AGM granted the general mandate.

• Timeline: The programme is effective for 12 months from 20 July 2026 or will terminate earlier if (i) the maximum HK$400 million is fully deployed, (ii) the board resolves to end the plan, or (iii) the current mandate expires without renewal at the 2026 AGM.

• Post-repurchase options: Acquired shares may be cancelled to reduce capital, allocated for equity incentives, used as consideration for M&A, re-sold for financing, or retained as treasury stock, subject to all regulatory requirements.

The board has granted full authority to company management to determine the timing, pricing and volume of repurchases within the approved parameters. The company stressed that all transactions will be conducted in accordance with PRC law, Hong Kong Listing Rules and its Articles of Association, and that repurchases will not reduce public float below regulatory minimums nor trigger mandatory general offer obligations.
