Mega Genomics Limited will seek shareholder approval at its Annual General Meeting (AGM) on 21 May 2026 for a series of ordinary resolutions covering board composition, dividend payout, auditor reappointment and refreshed capital mandates.
Dividend Proposal • A final dividend of RMB0.15 per share for FY-2025 is proposed. • Eligible shares total 197.03 million, excluding 27.27 million restricted shares, translating into an aggregate distribution of about RMB30.00 million. • The dividend will be declared in Renminbi and paid in Hong Kong dollars on 9 July 2026, based on the average PBoC RMB/HKD central parity rates for the five business days before the AGM. • Shareholders must be on the register by 29 May 2026; the books close from 28–29 May 2026.
Board Changes • Executive Directors Dr Yu Rong and Ms Lin Lin, Non-executive Director Ms Guo Meiling and Independent Non-executive Director Dr Zhang Ying will retire and stand for re-election. • The Nomination Committee recommends their re-appointment; independence criteria under Listing Rule 3.13 have been met for Dr Zhang.
Auditor Tenure • Crowe (HK) CPA Limited is nominated for reappointment with an expected fee of roughly RMB1.50 million for the next audit cycle.
Capital Management Mandates • Share Repurchase: Directors seek authority to repurchase up to 10% of issued shares (22.43 million shares) during the mandate period. • Share Issuance: A separate mandate would allow the issue, allotment or transfer of up to 20% of issued shares (44.86 million shares) and an additional mandate to extend this limit by the number of shares repurchased. • Both prior mandates granted on 28 June 2024 have expired.
Meeting Logistics • The AGM will be held at the company’s Beijing headquarters at 10:00 a.m. on 21 May 2026. • Shareholders must lodge proxy forms by 10:00 a.m. on 19 May 2026. • The register will be closed 18–21 May 2026 for AGM eligibility.
