OUE Limited reports unit acquisitions and corporate restructuring for H2 2025

OUE Limited (LJ3) told the Singapore Exchange that, for the six months ended Dec, 31 2025, it increased its stakes in two listed trusts, incorporated a new overseas unit and struck off three dormant subsidiaries.

On Jul, 28 2025, the group received 6.70 million units of OUE Real Estate Investment Trust at 0.2927 Singapore dollars per unit as partial payment of the manager’s base fee, lifting OUE’s interest in the trust to 48.83%. A further 5.72 million units were issued on Oct, 28 2025 at 0.3454 Singapore dollars per unit, nudging the holding to 48.88%.

For First Real Estate Investment Trust, the manager accepted fee payments in units that were immediately transferred to OUE. The transactions on Aug, 07 2025 (4.11 million units) and Nov, 06 2025 (3.92 million units) raised the group’s stake from 45.39% to 45.60%.

Chatterbox Pte. Ltd., an indirect subsidiary, set up Chatterbox Japan in Tokyo on Jul, 28 2025 with paid-up capital of 50 million Japanese yen to run restaurant operations.

Three dormant entities—Meritus Hotels Pte. Ltd., OUE Downtown Pte. Ltd. and OUE Reef Development Pte. Ltd.—were struck off between Jul, 18 2025 and Aug, 24 2025.

OUE said the transactions are not expected to materially affect its net tangible assets or earnings per share for the year ending Dec, 31 2026, and no director or controlling shareholder has any interest in the activities beyond their shareholdings in the company.
