兴证国际06058子公司累计出售2,015万美元票据 获利逾16.54万美元

兴证国际（06058）9月18日公告披露，旗下间接全资子公司CISI Investment Limited于2026年6月15日至2026年9月17日期间，在公开市场累计出售Joy Treasure Assets Holdings Inc.发行、由中国东方资产管理（国际）控股有限公司担保的票据，票据面值合计20,150,000美元，对应总代价约20,080,767美元（折合约157,634,020港元）。

上述票据到期日为2028年12月4日，固定年利率4.30%。由于交易通过公开市场完成，买方身份不可确定；经董事会合理查询，公司关联人士及其联系人未参与购买。

公司称，本次出售使集团实现收益约165,407美元（约1,298,444港元），收益差额为购买成本与本次出售所得款项及持有期间票面利息之合计差额，最终金额有待审计确认。所得款项拟用作集团一般营运资金，亦可用于未来潜在投资。

根据香港联交所《上市规则》第14章计算，单独计算本次出售的所有适用百分比率均不超过5%，但累计过去数次出售后，其中一项百分比率介乎5%至25%之间，因此构成须予披露交易，无需股东批准。

公司表示，出售票据符合其通过多元化投资组合拓宽收入来源的策略，同时为平衡和变现证券投资组合提供机会。
