Texwinca Plans Comprehensive Bye-laws Revision Ahead of HKEX Uncertificated Securities Market Launch

Texwinca Holdings Limited announced a proposal to replace its existing bye-laws, last amended on 31 August 2022, with a fully amended and restated version subject to shareholder approval at the 20 August 2026 annual general meeting (AGM).

The planned revisions aim to: • Incorporate forthcoming Hong Kong Stock Exchange rule changes that introduce an Uncertificated Securities Market and an “Issuer Platform,” as detailed in HKEX papers issued in May 2025 and May 2026. • Permit the company to hold repurchased shares in treasury rather than cancelling them. • Update provisions governing director retirement and re-election. • Implement other consequential and housekeeping changes.

The board will seek a special resolution at the 2026 AGM to adopt the new bye-laws in full substitution for the current version. Until shareholders pass the resolution, the existing bye-laws remain in force. A circular outlining the proposed amendments and the AGM notice will be dispatched to shareholders in due course.

As of the announcement date, Texwinca’s board comprises five executive directors—Poon Bun Chak, Poon Ho Tak, Ho Lai Hong, Ng Mo Ping and Wu Chi Hang—and three independent non-executive directors—Law Brian Chung Nin, Lin Kit Yee Anna and Lee Wai Yip Alvin.
