On 6 May 2026, Zhongyu Energy Holdings Limited executed an on-market repurchase of 2.00 million ordinary shares at prices ranging between HKD 2.73 and HKD 2.76, for a total consideration of HKD 5.49 million.
Following the transaction, the company’s issued share capital (excluding treasury shares) declined by 0.07 % to 2,727.81 million shares, while treasury shares increased from 18.50 million to 20.50 million. Total issued shares remained unchanged at 2,748.31 million.
The buyback was conducted under the repurchase mandate approved on 2 June 2025, which authorises the company to repurchase up to 277.18 million shares. Cumulative repurchases under this mandate now stand at 20.50 million shares, representing 0.74 % of the shares outstanding on the mandate’s approval date.
Pursuant to Hong Kong Stock Exchange rules, Zhongyu Energy faces a moratorium on issuing new shares or disposing of treasury shares until 5 June 2026 (30 days after the latest repurchase). The board confirmed that the transaction complied with all applicable listing rules, legal requirements and internal approvals, and that full payment for the repurchased shares has been completed.
