On 8 May 2026 CIMC’s eleventh Board of Directors convened its sixth meeting for 2026, with all nine directors voting by correspondence. The session focused on a broad overhaul of corporate governance policies and committee charters, as well as remuneration matters affecting independent and external directors.

Proposed increase in fixed allowances • The Board proposed lifting the annual fixed allowance for each independent director and for external directors representing non-shareholder entities to RMB 0.30 million (pre-tax). • Abstaining from the vote were four directors directly affected by the change; the remaining five directors approved the proposal, which now awaits shareholder ratification.
