SH Group Holdings Reports No Share Capital Changes in August 2026; Public Float Remains Compliant

SH Group Holdings Limited released its Monthly Return for Equity Issuer for the period ended 31 August 2026, confirming a stable capital structure with no share movements during the month and continued adherence to Hong Kong Stock Exchange public-float requirements.

The company’s authorised share capital closed the month unchanged at 10.00 billion ordinary shares with a par value of HKD 0.01 each, equivalent to HKD 100.00 million in registered capital.

Issued share capital also remained steady at 400.00 million ordinary shares, with zero treasury shares outstanding. There were no increases, cancellations, or transfers, leaving total issued shares unchanged at 400.00 million. SH Group Holdings affirmed that its free-float level exceeds the Main Board’s Initial Prescribed Threshold of 25% of issued shares.

No warrants, convertible instruments, or other share-issuing arrangements were outstanding or executed during August. Under the existing 2016 Share Option Scheme, no options were outstanding or exercised; however, the mandate still allows for up to 40.00 million additional shares to be issued if options are granted in the future.

The filing, submitted on 1 September 2026 by Executive Director Lau Man Ching, indicates no material equity changes for the month, underscoring a period of capital stability for SH Group Holdings.
